These Terms of Use (“Terms”) govern your access to and use of the services, tools, websites, applications, templates, and other materials provided by AIxH (“we,” “our,” “us”), collectively referred to as the “Service.”

Please read these Terms carefully before using the Service. By accessing or using any part of the Service, you agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

1. General

1.1. These Terms apply to all users of the Service, including visitors, registered users, and paying customers.

1.2. AIxH is a product and service operated by AIxH Pte Ltd, headquartered in Singapore.

1.3. We reserve the right to modify these Terms at any time. We will notify users of any material changes, and continued use of the Service after such changes constitutes your acceptance.

1.4. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1.5. “Messaging Platforms” means third-party communication channels you connect to the Service (including, without limitation, WhatsApp, Meta Messenger, Instagram Messaging, Telegram, SMS providers, and email service providers).

2. Nature of the Service

AIxH provides software and services that enable businesses to deploy and manage AI-assisted conversational agents and workflow automations, including message handling, lead qualification, follow-ups, booking assistance, and integrations with third-party tools (e.g., WhatsApp/Meta platforms, CRMs, calendars, and AI model providers). Features may change over time.

3. License and Usage Restrictions

3.1. Subject to these Terms, AIxH grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal or internal business purposes.

3.2. You may not:

• Modify, reproduce, distribute, or reverse-engineer any part of the Service
• Sell, license, sublicense, or commercialize the Service or its contents
• Use automated means (e.g., bots, scrapers) to access the Service
• Share login credentials or access with others
• Use the Service in any manner that violates applicable law or infringes on others’ rights

3.3. We reserve the right to:

• Modify or discontinue the Service at any time without notice
• Restrict or terminate access for any user who violates these Terms
• Remove or disable content that breaches our policies or intellectual property laws

3.4 Acceptable Use / Messaging Compliance

You must not use the Service to send unlawful, misleading, abusive, or unsolicited messages, or to violate any platform policies. You are responsible for ensuring you have all necessary rights and consents to contact end users and process personal data, including compliance with Messaging Platform policies and applicable anti-spam and privacy laws.

4. Account Security

4.1. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4.2. You must notify us immediately of any unauthorized use or security breach involving your account.

4.3. We are not liable for any losses arising from unauthorized access due to your failure to safeguard credentials.

5. Fees, Billing, and Refunds

5.1. Fees. Certain parts of the Service may require payment of fees (“Paid Plans”). Pricing, plan features, and billing intervals will be described at the time of purchase or in an order form.

5.2. Billing and Auto-Renewal. If you purchase a subscription, you authorize us (and our payment processors) to charge your payment method on a recurring basis until you cancel. Subscription fees are billed in advance for each billing period.

5.3. Trials. If you start a trial, your Paid Plan may begin automatically at the end of the trial unless you cancel before the trial ends.

5.4. Taxes. Fees are exclusive of any applicable taxes, duties, or levies, which you are responsible for paying.

5.5. Cancellation. You may cancel a subscription at any time. Cancellation takes effect at the end of the current paid billing period unless otherwise stated at the time of purchase. We do not provide prorated refunds for unused time unless required by law.

5.6. Refunds. All fees are non-refundable except (i) as required by applicable law, or (ii) as expressly stated in a written refund policy or order form provided by AIxH.

5.7. Non-Payment. If payment is overdue or fails, we may suspend or terminate your access to Paid Plans until payment is received.

5.8. Some fees may be usage-based; usage will be measured by outgoing messages as shown in the Service.

6. Third-Party Tools and Integrations

6.1. The Service may include features or integrations powered by third-party tools (e.g., Google Docs, OpenAI APIs). Use of such tools is subject to those third parties’ terms.

6.2. We are not liable for any issues or damages arising from third-party software or services.

6.3. You are responsible for complying with third-party terms and maintaining your own accounts with those providers.

7. Customer Content and Data

7.1. Customer Content. You may submit, upload, transmit, or otherwise make available content, data, and materials through the Service (“Customer Content”), including end-user messages and contact information.

7.2. Ownership. As between you and AIxH, you retain all rights to Customer Content. You grant AIxH a limited, worldwide, non-exclusive license to host, reproduce, process, transmit, and display Customer Content solely to provide, maintain, and secure the Service and to perform our obligations under these Terms.

7.3. Your Responsibilities. You represent and warrant that you have all rights, permissions, and consents necessary to provide Customer Content to the Service and to permit AIxH to process it, including any required consents from end users under applicable privacy, data protection, and anti-spam laws and applicable Messaging Platform policies.

7.4. Sensitive Data. You will not provide the Service with sensitive personal data (e.g., health, biometric, financial account numbers, government identifiers) unless expressly agreed in writing by AIxH.

7.5. Aggregated/De-Identified Data. We may create and use aggregated and/or de-identified data derived from use of the Service for analytics, security, and improving the Service, provided such data does not identify you or your end users.

8. Device Permissions and Data Collection

By using the Service, you consent to our access of certain device functionalities (e.g., cookies, storage, push notifications) and data collection as described in our Privacy Policy.

9. Intellectual Property and Feedback

9.1. All materials, code, content, and trademarks provided through the Service are the intellectual property of AIxH or its licensors.

9.2. By submitting feedback or suggestions, you grant us a royalty-free, worldwide license to use and incorporate them into our Service without any obligation to compensate you.

10. Confidentiality

10.1. If you gain access to proprietary or confidential information through the Service, you agree not to disclose, use, or reproduce such information unless authorized.

10.2. You must protect confidential information using reasonable safeguards and promptly notify us of any unauthorized disclosure.

11. Disclaimers and Limitations of Liability

11.1. The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted or error-free.

11.2. To the fullest extent allowed by law, we disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.

11.3. AI Features and Output. The Service may include artificial intelligence (“AI”) features that generate content, recommendations, and/or automate actions (including sending messages and updating third-party systems). AI output may be inaccurate, incomplete, misleading, or inappropriate, and automated actions may produce unintended results.

11.4. Human Oversight. You are solely responsible for reviewing, approving, and monitoring AI output and any automated actions before relying on them or deploying them to end users, including implementing appropriate human oversight and safeguards.

11.5. Guardrails. We may provide configuration tools, safety settings, and guardrails designed to reduce harmful or unintended outcomes. However, we do not guarantee that such measures will prevent all errors, misuse, or harmful outcomes. You acknowledge and agree that you use the Service at your own risk.

11.6. No Professional Advice. The Service does not provide financial, investment, legal, tax, medical, or other professional advice. You must obtain independent professional advice before making decisions based on the Service.

11.7. We are not liable for indirect, incidental, special, or consequential damages (including lost profits or data) arising from your use of the Service.

11.8. Our total liability for any claim related to the Service is limited to the amount you paid us (if any) in the 12 months prior to the event giving rise to the claim.

The Service may contain links to third-party websites or content. These links are provided for convenience only, and we do not endorse or control these sites. Your use of third-party websites is at your own risk.

13. Privacy Policy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information.

14. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms, misuse the Service, or if we are required to do so by law.

15. Governing Law and Dispute Resolution

15.1. These Terms are governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles.

15.2. Any dispute arising under these Terms shall be resolved through good faith negotiations. If not resolved, it shall be finally resolved by arbitration in Singapore administered by SIAC.

16. Miscellaneous

• Severability: If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force.
• No Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver.
• Assignment: You may not assign your rights without our consent. We may assign our rights without notice.
• Third Parties: These Terms do not confer any rights to third parties.
